Terms of Service

These Terms of Service govern your access to and use of UGC Pulse, a service operated by 1811 Labs (Vatsal Sanghvi). In these Terms, "UGC Pulse," "we," "us," and "our" refer to the operator. "You" refers to the individual or organization using the Service.

1. Agreement to these Terms

By clicking to accept, creating an account, purchasing a subscription, or accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you accept for an organization, you agree on its behalf and confirm that you have authority to bind it.

You consent to receive these Terms, notices, invoices, and other records electronically. You may retain a copy for your records.

2. Eligibility and availability

You must be at least 18 years old, legally capable of entering a binding contract, and permitted to use the Service under applicable law. You may not use the Service if you are subject to sanctions or export restrictions that prohibit the transaction or our provision of the Service.

Availability may vary by country based on law, sanctions, payment-provider coverage, platform or provider restrictions, and technical support. We do not promise that every feature is lawful or available in every location.

3. Accounts and security

You must provide accurate, current information and keep it updated. You are responsible for safeguarding credentials and for activity under your account. Each login is for one assigned user and may not be shared. If a plan includes multiple seats, each person must use their own assigned account.

Notify us promptly at hello@ugcpulse.app if you suspect unauthorized access, credential compromise, or another security incident involving your account.

4. The Service

UGC Pulse is designed to analyze publicly available social-media accounts, posts, videos, and performance signals and to use software and AI to help users research creative patterns, competitors, hooks, scripts, briefs, and content ideas.

UGC Pulse is independent. TikTok, Instagram, Meta, and other third-party platforms do not sponsor, endorse, or control the Service. Data coverage, sources, providers, and features may change as platform rules, access, and availability change.

5. Subscriptions and billing

Paid subscriptions are billed monthly and automatically renew until cancelled. At checkout, you affirmatively authorize the applicable payment provider to charge your selected payment method at the start of each billing period, including applicable taxes. The renewal price and billing date are disclosed at checkout or in your billing record.

We use Dodo Payments as our Merchant of Record. Dodo Payments is the seller for the transaction and handles payment processing, taxes, invoices, refunds, payment disputes, fraud screening, and related legal obligations under the checkout terms presented to you. Prices, taxes, and billing currency may vary by location.

6. Cancellation and refunds

You may cancel at any time by emailing hello@ugcpulse.app or through a billing portal if one is available. Cancellation normally takes effect at the end of the current paid billing period, and access normally continues until then.

To reduce the risk of a renewal already being processed, we recommend submitting your cancellation at least 48 hours before the renewal time. This is processing guidance. A cancellation request received before renewal does not automatically extend your subscription for another paid month merely because it was received within that 48-hour period. We will process requests as soon as reasonably practicable and review a resulting renewal charge when applicable law or the circumstances require it.

Fees are generally non-refundable and are not prorated merely because you stopped using the Service, did not use an allowance, or used the full allowance before requesting a refund. This does not limit mandatory rights under applicable consumer law. We will also review a duplicate or incorrect charge and a verified failure to provide purchased access. If a refund is granted, access and unused allowances may end immediately.

If applicable law gives you a cooling-off or withdrawal right, that right applies despite these Terms. Where permitted, requesting immediate performance may reduce or end that right only after the express consent and acknowledgement required by law.

7. Usage allowances

Plans may include limits for chats, scripts, tracked accounts, history, exports, or other features. Unless the plan expressly says otherwise, monthly allowances expire at the end of each billing cycle, do not roll over, may not be transferred, and have no cash value. You may not bypass, automate around, or manipulate usage controls.

8. Customer Content

"Customer Content" means prompts, instructions, company and app information, selections, messages, files, and other material you submit to the Service. You retain your rights in Customer Content. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, and display Customer Content only as reasonably necessary to provide, secure, debug, maintain, and support the Service, improve product functionality, and comply with law.

We do not use Customer Content to train UGC Pulse or third-party AI models unless you separately opt in. Service improvement does not include model training without that separate permission.

You represent that you have all rights, licences, notices, and permissions needed to submit Customer Content and instruct us to process it. If you use the Service for another organization, you are responsible for that organization's privacy notices, instructions, and lawful bases.

Unless we expressly agree in writing, do not submit payment-card data, government identifiers, passwords, health information, children's data, precise location data, biometric data, or other sensitive personal data or regulated information not needed for the Service.

9. Generated outputs

As between you and us, and to the extent permitted by law, you may use scripts, briefs, analyses, and other outputs generated for you, including commercially. Outputs may not be unique, and similar or identical material may be generated for other users.

You must review outputs, verify important facts, and assess legality, safety, platform rules, and third-party rights before relying on, publishing, distributing, or acting on them.

10. Public and third-party content

Public posts, videos, audio, music, trademarks, account information, and other third-party material remain owned by their respective rights holders. Display or analysis in UGC Pulse does not grant you a licence to copy, publish, distribute, advertise with, or otherwise exploit that material.

You are responsible for obtaining necessary permissions and following applicable platform rules. Public availability does not by itself remove copyright, trademark, publicity, privacy, or other rights.

11. Acceptable use

You must not use the Service to:

  • break the law, infringe rights, or violate platform rules;
  • harass, stalk, surveil, dox, threaten, or identify private individuals;
  • infer sensitive traits, unlawfully discriminate, or target minors;
  • impersonate others, manufacture deceptive engagement, distribute malware, or facilitate fraud;
  • access another account, share credentials, or attempt unauthorized access to systems or data; or
  • disable, interfere with, or circumvent security, billing, usage, or access controls.

12. Automated access and data extraction

Except with our prior written authorization, you must not use bots, crawlers, scripts, browser automation, scraping tools, agents, or any other automated means to access the signed-in Service or extract its data, content, or outputs.

You must not bulk download, mirror, republish, reconstruct, resell, sublicense, or create a substitute dataset from UGC Pulse. You must not combine multiple accounts or methods to avoid limits or obtain data at a scale that a normal assigned user could not reasonably review through the interface.

You must not circumvent rate limits or technical restrictions, reverse engineer the Service, attempt to discover source code, prompts, models, scoring methods, non-public systems, or data-source logic, or use UGC Pulse data, outputs, or access to train, benchmark, develop, or operate a competing product, service, dataset, or model.

This section does not prohibit ordinary browser features, accessibility tools, or authorized search engines from indexing the public marketing site in accordance with our published crawl controls. A written agreement or future official API may grant additional access. Unauthorized extraction may cause irreparable harm for which damages are inadequate, so we may seek injunctive relief in addition to other lawful remedies.

13. Rights-holder and public-data requests

A rights-holder or person whose public information appears in UGC Pulse may request review, correction, restriction, or removal by emailing hello@ugcpulse.app. Include enough information to identify the material, explain the basis of the request, and allow proportionate verification. We may preserve a limited suppression record to prevent removed material from being re-added.

14. Feedback

If you voluntarily provide suggestions or feedback, you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free licence to use and incorporate it without restriction or payment. This does not transfer ownership of your Customer Content.

15. Third-party services

Third-party platforms, payment services, AI providers, data providers, and links are governed by their own terms and policies. We are not responsible for their independent conduct, availability, decisions, changes, or content. A third party may suspend or change access that affects the Service.

16. Beta and preview features

A feature labelled beta, preview, experimental, or early access may be incomplete, change materially, or be withdrawn without notice. Do not rely on it for critical operations unless we expressly agree otherwise in writing.

17. Suspension, termination, and data export

We may limit or suspend access immediately when reasonably needed to investigate scraping, fraud, security risk, unlawful conduct, material breach, non-payment, or harm to the Service or others. We will use proportionate measures and provide notice when reasonably practicable and lawful.

You may stop using the Service or cancel under Section 6. We may terminate an account for material or repeated breach, or discontinue the Service with reasonable notice where practicable. You are responsible for exporting material you need before access ends. Deletion requests may be sent to hello@ugcpulse.app.

Payment obligations already accrued and provisions concerning ownership, licences, restrictions, disclaimers, liability, indemnity, disputes, and other terms intended by their nature to survive will continue after termination.

18. Changes to the Service, prices, and Terms

We may modify features, plans, prices, and these Terms. When reasonably practicable, we will give at least 30 days' advance email or in-product notice of a material change. A price increase applies no earlier than the first renewal after the stated effective date. We will request affirmative consent when applicable law requires it.

If you do not agree to a change, you may cancel before it takes effect. Continued use after the effective date constitutes acceptance only where permitted by law.

19. Disclaimers and limitations of the Service

To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

Public metrics and AI-generated outputs may be delayed, incomplete, inaccurate, outdated, unavailable, or non-unique. UGC Pulse does not guarantee views, virality, distribution, engagement, installs, revenue, return on advertising spend, or any other creative or commercial result. The Service does not provide legal, financial, tax, employment, or other professional advice.

20. Limitation of liability

To the maximum extent permitted by law, neither UGC Pulse nor its suppliers will be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, goodwill, data, or business opportunity, even if advised of the possibility.

To the maximum extent permitted by law, our total aggregate liability arising from or relating to the Service or these Terms will not exceed the fees you paid for the Service during the six months immediately before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, gross negligence or wilful misconduct, death or personal injury caused by negligence where applicable, or any right or liability that law does not permit us to exclude or limit. Mandatory consumer remedies remain available.

21. Business-user indemnity

Business users will defend, indemnify, and hold harmless UGC Pulse and its personnel from third-party claims, damages, and reasonable costs arising from their Customer Content, unlawful use, material breach of these Terms, or infringement of third-party rights. We will give prompt notice and reasonable cooperation, and you may control the defence and settlement, provided no settlement admits fault by or imposes obligations on us without our written consent.

This section does not apply to consumers where applicable law prohibits it and does not require indemnification for claims caused by our own breach or unlawful conduct.

22. Dispute resolution and governing law

Before filing a claim, you and UGC Pulse will attempt in good faith to resolve it for 30 days after written notice to hello@ugcpulse.app. This does not prevent urgent injunctive relief or a claim that cannot legally be delayed.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to mandatory consumer rights, the courts located in Bengaluru, Karnataka, India have exclusive jurisdiction. Nothing here deprives a consumer of protections or a forum that applicable law makes mandatory.

23. Force majeure

We are not responsible for delay or failure caused by events beyond our reasonable control, including internet or cloud outages, third-party platform or provider changes, labour disputes, natural disasters, epidemics, war, terrorism, civil disorder, government action, or utility failure. This force majeure provision does not excuse payment obligations already due or limit non-waivable rights.

24. General terms and contact

These Terms, the Privacy Policy, an applicable order, and checkout terms form the entire agreement about the Service. If they conflict, a signed order controls for its subject matter, then an our Data Processing Addendum, then these Terms, unless mandatory law requires otherwise.

If a provision is unenforceable, it will be modified only as needed and the rest remains effective. A failure to enforce a provision is not a waiver. Headings are for convenience. The parties are independent contractors. These Terms create no partnership, agency, employment, or fiduciary relationship, and there are no third-party beneficiaries.

You may not assign these Terms without our written consent. We may assign them in connection with a merger, financing, reorganization, sale of assets, or transfer of the Service, subject to applicable law. Notices to you may be sent to the account email or displayed in the Service.
